Nourish Network “Win a Trip to Wine Country” Official Rules

Prize. The Prize will include:

  • Roundtrip coach class airfare for two adults between a major commercial airport within the 48 continental United States and either San Francisco International Airport (SFO) or Oakland International Airport (OAK)
  • Two nights’ lodging in one double-occupancy room in a wine country guest house to be chosen by Nourish Network
  • All meals during the two-night, three-day Stay
  • Ground transportation between the destination airport (either SFO or OAK) and the guest house
  • Activities such as eco-friendly tours, farm visits and classes (the “Activities”) to be determined by Nourish Network
  • Transportation to and from all Activities

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THE PRIZE

One Prize. One Prize will be awarded to a single Winner.

Entry Method and Selection of Winner. The Winner will be selected at random from among all persons who register at Nourish Network, by completing the online form located at http://nourishnetwork.com/join-us, on or before 11:59pm (Pacific Standard Time) December 31, 2009. Nourish Network’s computer shall be the official timekeeping device for the promotion.

Odds. The odds of winning are 1:[number of eligible entries received]

Purchases. The Prize does not include any purchases the Winner may choose to make during the Stay.

Taxes. All taxes (including income taxes) and other withholdings and assessments are the sole responsibility of the Winner.

Value. The approximate value of the Prize is $3,500.00

No substitutions.  No substitutions, transfers, or cash equivalents of the Prize can be made. However, Nourish Network may, at its discretion, make a substitution of comparable value.

Eligibility. “Win a Trip to Wine Country” is open to all persons who are legal residents of the United States and who have attained the legal age of majority in their state of residence; except employees and consultants of Flour, Inc., d/b/a/ Nourish Network (“Nourish Network”), members of their immediate families, or members of their households. Any agents or representatives acting on behalf of Nourish Network, including, but not limited to, those involved in the development, production, implementation, and distribution of prizes for this promotion and their respective parent companies, affiliates, subsidiaries, service providers and agencies and their officers and employees, and any other person or entity associated with this promotion are also ineligible to enter or win.

If a Winner does not meet these requirements, the Prize will be forfeited, and no substitute prize will be given to such Winner.

Void where prohibited by law. This promotion is void where prohibited by law. Anyone living in a state or other jurisdiction where the promotion is prohibited, taxed, or otherwise restricted by law, rules or regulations, is ineligible. Nourish Network disclaims any responsibility or liability to or for anyone who enters when it is illegal for them to do so.

Limit one entry per person. Any person who shall submit false or duplicative Nourish Network registration information shall be disqualified from this promotion. Nourish Network assumes no responsibility for technical malfunctions related to entries. Proof that you transmitted an entry will not constitute proof of Nourish Network’s receipt of such entry.

Selection and notification. The Winner will be selected at random on January 1, 2010. Only the Winner will be notified. The Winner will be notified via phone and/or by e-mail using the registration information provided to Nourish Network. The Winner will be required to respond to the notification within ten days of attempted communication to acknowledge receipt and accept the Prize. If (i) the Winner is found to be ineligible or does not comply with any provision of these Official Rules, or (ii) the Winner fails to return a complete and executed Affidavit of Eligibility and Liability and Publicity Release, the Winner may be disqualified, and an alternate winner may be selected at random by Nourish Network. Nourish Network is not responsible for Winner notifications that are delayed, lost, misdirected, or misdelivered.

Prize redemption: The Winner will be required to sign an Affidavit of Eligibility and Liability and Publicity Release, and any applicable tax reporting forms, including the winner’s Social Security Number, within ten days of being declared the Winner. Affidavits are subject to verification by Nourish Network.  The Prize must be claimed by the Winner, and is not transferable. Sale or other transfer of the Prize is strictly prohibited and will render it void. Failure to comply with these Official Rules or Nourish Network’s instructions for claiming the Prize may result in forfeiture of the Prize, and a new winner may be chosen at random by Nourish Network. Dates for the Stay will be agreed upon mutually by Nourish Network and the Winner. The Prize shall be forfeited if the Winner does not schedule the Stay and actually travel before January 1, 2011.

Right to terminate. Nourish Network reserves the right to cancel, terminate, modify, or suspend this promotion at its discretion for any reason including, but not limited to, fraud, technical failures, or any other causes beyond its control that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the promotion.

General Provisions.

Nourish Network reserves the right to use this promotion for publicity purposes in any media. Except where prohibited by law, the act of entering the promotion constitutes permission for Nourish Network and its agencies to use and display the Winner’s name, hometown name, statements, biographical information, image and/or likeness for advertising and trade purposes without further compensation, worldwide and in perpetuity, in any and all forms of media, now known and hereafter devised, including, without limitation, online.

Entering this promotion does not grant any entrant any right or license to use any proprietary material of Nourish Network, including, but not limited to, logos, images, text, trademarks, or other intellectual property, for any purpose.

The promotion is subject to these Official Rules. By participating, entrants agree to be bound by these Official Rules and the decisions of Nourish Network, which are final and binding in all respects. Nourish Network reserves the right, at its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the promotion; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS.

By participating in the promotion, entrants release Nourish Network and other entities associated with this promotion, (including their affiliates, subsidiaries, officers, directors, representatives, agents, and employees) from any and all liability for any claims, costs, losses, injuries or damages arising out of, resulting from or in connection with the promotion, including, but not limited to, submission of any promotion entries, including misdirected, lost or incomplete entries, acceptance, possession, or use of the Prize (including, but not limited to, claims, costs, losses, injuries or damages related to personal injuries, death, rights of publicity or privacy, defamation, or portrayal in a false light), participation in the promotion, or any technical malfunction of the telephone network, computer online system, computer time or date mechanism, computer equipment, hardware or software, program malfunctions or technical errors, or any combination thereof, or any lost, garbled, misdirected, illegible, or delayed data transmissions. Entrants also agree that Nourish Network and other entities associated with this promotion (including their affiliates, subsidiaries, officers, directors, representatives, agents, and employees) are not responsible or liable for any injury or damage to the entrant’s, or any third party’s, computer and/or its contents related to, or resulting from, any part of the promotion.

This promotion is governed by the laws of the United States and the State of California and it shall be governed by the substantive laws of the State of California without regard to any applicable conflict of laws provisions. The parties submit to jurisdiction in the state and federal courts serving Healdsburg, California, and hereby waive any jurisdictional, venue, or inconvenient forum defenses otherwise available.

If any provision of these Official Rules is held to be illegal or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that these Official Rules shall otherwise remain in full force and effect  to the fullest extent permitted by applicable law. No waiver to these Official Rules will be effective unless in writing and signed by the party against which enforcement is sought. The failure of either party to enforce its rights under the Official Rules at any time for any period shall not be construed as a waiver of such rights.

Captions and headings used in these Official Rules are for purposes of convenience only and shall not be deemed to limit, affect the scope, meaning or intent of these Official Rules, nor shall they otherwise be given any legal effect.

All requests for the name of the Winner must be received by March 1, 2010.
